Terms of Service
1. Agreement to terms
These Terms of Service govern your access to and use of the Agent Axis platform, websites and related services. By creating an account or using the services, you agree to these terms on behalf of yourself and any organization you represent.
2. Accounts and eligibility
You must provide accurate account information and keep it current. You are responsible for the activity of every user in your workspaces and for safeguarding login credentials. You must be legally able to enter into contracts and licensed as required for the insurance activities you conduct.
3. Subscriptions, trials and billing
Subscriptions are month-to-month unless agreed otherwise and renew automatically until cancelled. Free trials convert to a paid subscription at the end of the trial period unless cancelled first. Dialing minutes, SMS segments and AI voice minutes are billed on usage, at the rates shown at checkout.
Fees are non-refundable except where required by law. Plan changes take effect on a prorated basis.
4. Acceptable use
You may not use the services to send unlawful, deceptive or unsolicited communications, to infringe the rights of others, to attempt to gain unauthorized access, or to interfere with the operation or security of the platform.
5. Telephony, SMS and recording compliance
You remain the sender of record for messages and the calling party for calls placed through the platform. You are responsible for obtaining and maintaining consent, honoring opt-outs and do-not-call obligations, completing A2P 10DLC brand and campaign registration, and complying with recording disclosure and consent laws in every jurisdiction you contact.
6. Customer data and privacy
You retain ownership of the data you submit. You grant us a limited license to host, process and transmit that data to provide the services. Our handling of personal information is described in the Privacy Policy.
7. Third-party services
The services may interoperate with third-party products you choose to enable. Those products are governed by their own terms, and we are not responsible for their availability or acts.
8. Intellectual property
We and our licensors own the platform, software, documentation and trademarks. No rights are granted other than the limited right to use the services under these terms.
9. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the services and use it only to perform under these terms.
10. Suspension and termination
You may cancel at any time. We may suspend or terminate access for non-payment, breach of these terms, or activity that creates legal or security risk. On termination, your right to use the services ends and data may be deleted after any stated retention period.
11. Disclaimers
The services are provided on an as-is and as-available basis. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law. We do not provide legal, compliance or insurance advice.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our aggregate liability is limited to the fees you paid in the twelve months before the claim.
13. Indemnification
You will defend and indemnify us against claims arising from your data, your communications with consumers, or your breach of these terms or applicable law.
14. Changes to the services or terms
We may modify the services or these terms. Material changes will be communicated in advance, and continued use after the effective date constitutes acceptance.
15. Governing law and disputes
These terms are governed by the laws of the jurisdiction stated in your order or, absent that, the jurisdiction where we are organized. The parties will attempt to resolve disputes informally before pursuing formal proceedings.
